Terms & Conditions

These terms and conditions (the "Agreement") govern your ("you," "your," or "participant") registration for and participation in The Cincinnati Insurance Company's Training Program (the "Program") and are an agreement between The Cincinnati Insurance Company, its affiliates and subsidiaries ("Cincinnati," "we," "us," or "our") and you. By flagging the "I AGREE" box, you agree to be bound by and comply with the terms and conditions set out in the Agreement which shall apply to your attendance at the Program.

1. Vendor Code of Conduct.

Cincinnati is committed to ethical business practices. We strive to ensure that business decisions are guided by a commitment to operate within The Cincinnati Ethic. Our reputation depends, in part, on the integrity of those with which we do business. We expect you to embrace our commitment to integrity by complying with all applicable laws and regulations, and by acting ethically at all times. Our Vendor Code of Ethics and Business Conduct sets forth minimum standards that Cincinnati requires of all current and future vendors, sub-vendors business partners, and their personnel. We are committed to creating a safe environment that is inclusive and free from discrimination, regardless of race, religion, color, national origin, sexual orientation, gender expression, identity, or status, age, disability, veteran or marital status, or any other protected categories under applicable law ("Protected Class").

If a participant is suspected, found, or confirmed to have violated this Code of Conduct, Cincinnati may take any action it deems appropriate, up to and including expulsion from the Program without warning or refund. If appropriate, local law enforcement may be contacted and/or involved.

2. Privacy Policy.

We may collect, manage and share your information in accordance with Cincinnati's Privacy Policy .

3. Photography, Audio and Video Recording Release and Ownership.

By registering and attending the Program, you understand and agree that you may be included in photographs, audio recordings and videos ("PAV"). You hereby irrevocably consent to and grant Cincinnati and their representatives and licensees, all unrestricted rights to use, reproduce, copyright, publish, republish, distribute and display, in perpetuity throughout the world, for any purpose related to Cincinnati's business, in all media, now known or hereafter created: (i) your name, statements, testimonials, quotes, biographical data provided by you to Cincinnati (collectively referred to herein as "Other Information"), and (ii) all PAV that contains your image, likeness or voice, in any format known or that may be created, in whole or in part. You hereby waive any right to inspect, approve, or be compensated for use of any PAV or Other Information obtained from you during the Programs. Cincinnati shall have complete ownership of the PAV and Other Information, including copyright interests, and you acknowledge and agree that you have no, and disclaim all, interest and ownership in the PAV and Other Information or any related copyright. Cincinnati may, but is not required to, credit the PAV or Other Information to you and include your name, title and other biographical data. You acknowledge and agree that you have no further right to additional consideration or accounting, and that you will make no claim for any reason to Cincinnati, and you hereby release Cincinnati and their representatives and licensees from all liabilities arising out of any use of your likeness and information as provided above.

4. Your Materials.

Some activities of the Program may provide you an opportunity to submit, post, display, transmit and/or exchange information, data, materials (e.g. ideas, opinions, photographs, images, creative works, messages), (collectively, "Materials"). You will be solely responsible for all Materials, whether publicly posted or privately transmitted, that are uploaded, posted, emailed, transmitted or otherwise made available at the Program. By executing this Agreement, you warrant that no Materials will contain any content that: (i) is false, inaccurate, or misleading; (ii) infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights; (iii) violates any applicable law or regulation (including, without limitation, those governing export control, unfair competition, or false advertising); (iv) is defamatory and/or constitutes trade libel or product disparagement, or is unlawfully threatening or harassing; (v) is obscene or contains child pornography; or contains viruses, Trojan horses, time bombs, worms, cancelbots or other computer programming routines that may damage or interfere with the operation of any system.

5. Intellectual Property Rights and Confidentiality.

All intellectual property rights in or relating to the Program, including any data, technical information, know-how, documentation, and related materials that are provided or made available by Cincinnati in connection with the Program (the "IP"), are and remain the sole property of Cincinnati and/or any presenter. All such IP: (i) are provided by Cincinnati for the exclusive and personal use of participants at the Program and may not be used for purposes other than their use for the attendance at the Program; (ii) shall be held in confidence by you and may not be copied, modified, reproduced, distributed or disclosed in any form and by any means to third parties. You shall not remove, alter or modify the copyright and other disclaimers and/or credits placed by Cincinnati and/or any presenter.

6. Views.

The views expressed by any participant, speaker, or sponsor are not necessarily those of Cincinnati. All Program participants, speakers, and sponsors are solely responsible for the content of any and all individual or corporation presentations, marketing collateral, advertising and online web content.

7. Disclaimer.

Cincinnati makes no express or implied warranty concerning the quality, reliability, accuracy, completeness, performance, fitness for a particular purpose and results of the sessions of the Program and/or the IP or that the attendance at each Program's session will be uninterrupted or error free, or that any errors will be corrected.

8. Statement of Liability.

Except where prohibited by applicable law, Cincinnati disclaims any liability for the acts of any participant and outside entity related to this Program. Cincinnati reserves the right to cancel the Program or change speakers without liability. Cincinnati shall not be liable for any delays or failure in performance or interruption of services, regardless of the cause.

You agree to indemnify, defend, and hold harmless Cincinnati, its officers, directors and agents, against all claims arising out of actions or omissions of yours or other participants at or in connection with this Program.

Except where prohibited by applicable law, Cincinnati disclaims any and all direct, special, consequential, incidental, punitive or other indirect damages of any kind whether alleged as a breach of contract or tortious conduct, including negligence, or based on any other cause of action.

9. Governing Law.

The laws of the state of Ohio govern this Agreement and any dispute of any sort that might arise between the parties. Any dispute must be litigated in Butler County, Ohio, to whose exclusive jurisdiction the parties hereby consent.
